1. Definitions

In these Terms and Conditions, the following words carry the meanings set out below:

  • "Agreement" means these Terms and Conditions together with any engagement letter or service proposal accepted by you.
  • "Selasih", "we", "us", "our" refers to Selasih, a business consulting practice at No. 52, Jalan Burma, 10050 George Town, Pulau Pinang, Malaysia.
  • "Client", "you", "your" refers to the individual or business entity that engages our services or uses this website.
  • "Services" refers to the business consulting engagements described on this website, including the Planting Plan, Cultivation Review, and Gardener's Partnership.
  • "Session" refers to a scheduled consultation or advisory meeting conducted in person, by phone, or by video call.
  • "Deliverable" refers to any written document, plan, review, or report produced by Selasih as part of the Services.
  • "Website" refers to the Selasih website accessible at selasihmy.world.

2. Acceptance of Terms

By using this Website or by engaging our Services — whether by submitting an enquiry, signing an engagement letter, or making a payment — you confirm that you have read and understood these Terms and agree to be bound by them.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging our Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree with any part of these Terms, we ask that you refrain from using the Website or engaging our Services. We are happy to discuss any aspect of these Terms with you before an engagement begins.

3. Services Description

Selasih offers business consulting services to small business owners in Malaysia. Our three service engagements are:

  • Planting Plan (RM 710): A single-session engagement to help you organise your business priorities, assess your current position, and identify a clear set of first steps. Includes one working session, a one-page priority map, and a short action list.
  • Cultivation Review (RM 1,900): A five-week engagement covering margins, customer care, and business routines. Includes an initial review, two advisory sessions, a written plan, and one follow-up consultation.
  • Gardener's Partnership (RM 3,420): A six-month advisory relationship with monthly sessions and quarterly reviews. Suited to owners who prefer steady, attentive support over time.

All Services are delivered in English. Sessions may be conducted in person at our George Town office or remotely by mutual agreement. Selasih reserves the right to adjust the availability of Services without prior notice, though this will not affect engagements already in progress.

4. Your Responsibilities

To allow us to serve you well, we ask that you:

  • Provide accurate and complete information about your business when requested.
  • Make yourself reasonably available for scheduled sessions and respond to our communications in a timely manner.
  • Review and act upon Deliverables in good faith, and let us know if something is unclear or does not reflect your situation.
  • Respect the scheduled timing of sessions; where a session must be rescheduled, please give at least 48 hours' notice where possible.
  • Keep your login credentials or any shared access details secure, if applicable to your engagement.

You agree not to use the Website or our Services for any unlawful purpose, and not to misrepresent your business circumstances in a way that could mislead our advisory process.

5. Intellectual Property

All content on this Website — including text, design elements, service descriptions, and imagery — is the property of Selasih or its licensors, and is protected under applicable Malaysian intellectual property law.

Deliverables produced during an engagement, such as priority maps, written plans, and review summaries, are provided to you for your own personal and business use. You may use them freely within your own business, but you may not resell, reproduce, or distribute them commercially without our written consent.

Selasih retains the right to use anonymised insights and aggregate learnings from engagements to improve our practice and services, provided no personally identifying information is disclosed.

6. Payment Terms

Fees and Currency

All fees are quoted in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Current fees are as listed on the Website at the time of engagement.

Payment Schedule

Payment terms will be set out in your engagement letter. In general, we request full payment prior to the commencement of the Planting Plan, and an initial deposit for multi-session engagements with the remainder due as agreed.

Accepted Payment Methods

We accept bank transfer and other payment methods as communicated to you at the start of your engagement. Payment details will be provided on your invoice.

Refunds

Where a session or engagement is cancelled by Selasih, a full refund of any amounts paid for that session or engagement will be issued promptly. Where you cancel an engagement after it has commenced, we will consider each situation with care. Unused sessions in a multi-session engagement may be refunded at our discretion, less a reasonable proportion for preparatory work already carried out.

7. Engagement Terms

The scope of each engagement is outlined in the service description and, where applicable, confirmed in writing before the engagement begins. Any requests to extend or significantly change the scope of an engagement will be discussed and agreed upon separately.

We will carry out our work with reasonable care and skill. Our timelines are estimates offered in good faith; where delays arise for reasons outside our control, we will communicate this to you as early as possible.

Selasih is a small consultancy and works with a limited number of clients at any one time. Availability for new engagements is subject to capacity and will be discussed at enquiry stage.

8. Confidentiality

We treat information shared with us about your business with discretion. Information you share in the course of an engagement will not be disclosed to third parties without your consent, except where required by law.

We ask that you also treat any working methods, templates, or proprietary materials shared by Selasih during an engagement as confidential and not share them with competitors of Selasih.

9. Disclaimers

Our Services are provided as advisory and consultancy support. The guidance and Deliverables we offer are based on the information you share with us and our professional judgement. We cannot predict business outcomes, and the results of applying our recommendations will depend on your own decisions, your market, and circumstances outside our control.

Nothing in our engagement constitutes legal, accounting, or financial advice regulated by Malaysian law. Where such specialist advice is needed, we will say so and recommend that you consult an appropriately qualified professional.

The Website is provided in good faith and we endeavour to keep information current, but we make no warranty that all content on the Website is accurate or complete at any given time.

10. Limitation of Liability

To the extent permitted by Malaysian law, Selasih's total liability to you in connection with any engagement shall not exceed the fees paid by you for that specific engagement.

Selasih shall not be liable for any indirect, consequential, or special loss, including loss of profit, loss of revenue, or damage to goodwill, however arising.

Nothing in these Terms limits our liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under Malaysian law.

Force majeure: Neither party shall be in breach of these Terms where a failure to perform is caused by circumstances beyond their reasonable control, including but not limited to natural events, government action, or disruption to utilities.

11. Indemnification

You agree to indemnify and hold harmless Selasih and its personnel from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or any misrepresentation you make about your business that affects our ability to advise you properly.

12. Termination

Either party may bring an engagement to an early close by giving written notice. Where you terminate an ongoing engagement, any fees for work already completed or sessions already held are non-refundable. We will discuss any amounts owed or to be refunded in a fair and reasonable manner.

Selasih may suspend or end an engagement if we determine, in good faith, that continuing is no longer appropriate — for instance, if materially inaccurate information has been provided, or if the working relationship has broken down. In such circumstances, we will communicate our position clearly and settle any financial matters fairly.

Clauses relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive the end of any engagement.

13. Dispute Resolution

These Terms and any disputes arising from them are governed by the laws of Malaysia. Both parties submit to the non-exclusive jurisdiction of the courts of Penang, Malaysia.

We prefer to resolve any concern informally. If you have a concern about our Services or a Deliverable, we encourage you to contact us first at [email protected]. We will acknowledge your message promptly and work with you to find a reasonable resolution.

If informal resolution is not achieved within a reasonable period, either party may seek mediation through the Malaysian Mediation Centre before initiating formal legal proceedings.

14. General Provisions

  • Entire agreement: These Terms, together with any engagement letter, represent the entire agreement between us regarding the Services and supersede any prior discussions.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to do so in future.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in the event of a business transfer or restructure, and will notify you if this occurs.
  • Notices: Any formal notices under these Terms should be sent by email to [email protected] or by post to our registered address.

15. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices or in applicable law. When we do, we will update the "Last Updated" date at the top of this page. Where changes are material, we will make reasonable efforts to notify active clients.

Continued use of our Website or Services after a change to these Terms constitutes acceptance of the updated Terms. We encourage you to review this page occasionally.
